Z.ai reloads with US$5 billion for China's AI race

Chinese artificial intelligence developer Z.ai (formerly Zhipu AI) plans to raise about US$5 billion through a Hong Kong share placement and convertible bond sale, which would give the company fresh capital for next-generation model development, computing infrastructure and business expansion.
The planned financing combines roughly US$2 billion from a placement of new H shares with about US$3 billion from convertible bonds, according to Guandian.cn . Z.ai said proceeds will support model research, computing infrastructure and broader business development.
The fundraising comes as Chinese AI developers face rising costs for computing capacity and talent while competing with larger US rivals, The Edge reported. Z.ai listed in Hong Kong in January and completed another follow-on share sale in July.
Z.ai prices shares at a discount
Z.ai plans to place up to 21.97 million new H shares at HK$714 (≈ US$91) each. The price represents a 9.96% discount to the September 11 closing price of HK$793 and a 19.95% discount to the five-day average closing price of about HK$891.90.
The placement is expected to generate gross proceeds of about HK$15.68 billion and net proceeds of approximately HK$15.66 billion after commissions and estimated expenses.
If fully completed, the new shares would represent about 4.72% of Z.ai's existing 466 million shares and around 4.50% of the enlarged share capital.
The placement is being made under an existing general mandate that allows the board to issue up to about 89.17 million shares, equivalent to 20% of the 446 million shares outstanding at the company's annual general meeting on June 22, 2026. No additional shareholder approval is required, although completion remains subject to certain conditions.
Convertible bonds add US$3 billion
Z.ai is also issuing CNY20.14 billion (≈ US$3 billion) of zero-coupon convertible bonds due in 2027. The bonds are yuan-denominated but will be settled in US dollars.
The bonds will be issued at 100.5% of face value, with an initial conversion price of HK$892.5 per share, subject to adjustment. That represents a 12.55% premium to the September 11 closing price and a 25% premium to the HK$714 placement price.
Full conversion at the initial price would create about 26.37 million shares, equivalent to roughly 5.66% of current shares outstanding and 5.36% of the enlarged total.
Gross proceeds from the bond issue are expected to reach about US$3.02 billion, with net proceeds of approximately US$3.01 billion after fees and expenses.
Z.ai may redeem all, but not part, of the bonds from February 18, 2027 if its shares trade at or above 130% of the conversion price for at least 20 out of 30 trading days. The bonds are expected to be listed on the Vienna MTF operated by the Vienna Stock Exchange.
Capital shifts toward models and self-training
About 60% of the net proceeds will be directed toward research and development of next-generation models and Z.ai's fully self-training system.
Another 15% will support expansion, while the remainder will be used to optimize the company's capital structure, replenish working capital and fund general corporate purposes.
The scale of the financing underscores how quickly AI development is becoming a capital-intensive contest. For Z.ai, the immediate priority is clear: convert fresh funding into stronger models, larger computing resources and a broader commercial footprint before the competitive gap widens further.
