VOLUNTARY ANNOUNCEMENT
COMMERCIAL COOPERATION WITH INNOBIC
FOR BIREOCICLIB IN THE THAILAND MARKET
The board of directors (the “Board”) of Xuanzhu Biopharmaceutical Co., Ltd. (the
“Company”, together with its subsidiaries, the “Group”) is pleased to announce that the
Group has recently entered into a tri‑party commercial agreement (the “Agreement”) in
respect of Bireociclib Tablets (the “Target Product”) with Innobic (Asia) Co., Ltd. (“Innobic
(Asia)”), a Thai pharmaceutical company, and ZaoAn International Trading Co., Ltd (“ZaoAn
International”) with a term expiring on 30 June 2036.
Pursuant to the Agreement, the Group jointly grants Innobic (Asia) and ZaoAn International
exclusive commercialisation rights for the Target Product within the territory of Thailand (the
“Target Territory”). The commercialisation rights include the rights to import, promote,
market, offer for sale, sell and distribute the Target Product in the Target Territory. Innobic
(Asia) will act as the distributor and be responsible for pharmaceutical registration, local
marketing and commercial operation of the Target Product in the Target Territory. Under the
Agreement, the marketing authorisation for the Target Product will be held in the name of
Innobic (Asia). ZaoAn International will act as the intermediary and assume primary payment
obligations under purchase orders. The Group will supply the Target Product at the agreed
supply prices to support the commercialisation activities of the Target Product in the Target
Territory.
The Agreement provides for certain minimum purchase quantities on an annual basis,
and licence fees payable by Innobic (Asia) to the Group upon signing and upon obtaining
marketing authorisation from the Thai Food and Drug Administration (TFDA). Innobic (Asia)
and ZaoAn International are jointly and severally liable to the Group for their respective
obligations under the Agreement.

This strategic cooperation is implemented in Thailand, a core member economy of the
Pharmaceutical Inspection Convention and Pharmaceutical Inspection Co‑operation Scheme
(PIC/S). By leveraging international partners to expand overseas markets, the Group will
continuously expand the influence of its products across the promising Southeast Asian
market, bring economic benefits to the Company and enhance its brand value.
ABOUT BIREOCICLIB
Bireociclib Tablets (trade name: Xuan Yue Ning), as the first CDK2/4/6 inhibitor approved in
China, possesses a unique multi‑target synergistic mechanism of action, offering advantages
including potent inhibition of tumor cell proliferation and significant reduction of the
hematological toxicity commonly associated with traditional CDK4/6 inhibitors. In May
2025, Bireociclib Tablets were approved by the National Medical Products Administration
(NMPA) for use in combination with fulvestrant for the treatment of adult patients with
HR+/HER2‑ locally advanced or metastatic breast cancer who have experienced disease
progression following prior endocrine therapy; and as monotherapy for the treatment of adult
patients with HR+/HER2‑ advanced or metastatic breast cancer who have experienced disease
progression following two or more prior endocrine therapies and one chemotherapy regimen
during the metastatic stage, making it the first and only CDK2/4/6 inhibitor approved with a
monotherapy indication in China. In March 2026, Bireociclib Tablets received approval for
an additional indication, for use in combination with aromatase inhibitors (AIs) for the initial
endocrine treatment of patients with HR+/HER2‑ locally advanced or metastatic breast cancer.
In December 2025, both indications for Bireociclib Tablets, in combination with fulvestrant
and as monotherapy, were included in the National Basic Medical Insurance, Maternity
Insurance, and Work‑Related Injury Insurance Drug List (2025), effective from 1 January
2026.

IMPLICATIONS UNDER THE LISTING RULES
As the transactions contemplated under the Agreement are revenue-generating transactions
in the ordinary and usual course of business of the Group, the entering into of the Agreement
does not constitute a notifiable transaction under Chapter14 of the Listing Rules.
RISK FACTORS
The progress and outcome of regulatory filings and marketing‑authorisation approvals for
Bireociclib Tablets within the Target Territory under the Agreement are subject to multiple
factors, including local regulatory policies and approval requirements, and uncertainties
remain as to whether marketing authorisation can be successfully obtained within the Target
Territory. In addition, pursuant to the Agreement, Innobic (Asia) is required to pay licence
fees and ZaoAn International is required to pay product purchase consideration pursuant
to purchase orders. Payments of the aforesaid sums are subject to satisfaction of triggering
conditions stipulated under the Agreement. Subsequent actual amounts of licence fees and
purchase consideration and relevant payment timelines are contingent upon registration
progress and commercial‑promotion effectiveness of the product, and realisable revenue
therefrom is subject to uncertainties. Investors are advised to exercise caution when
making investment decisions and pay attention to investment risks. The Company will
strictly comply with applicable laws, regulations and the Listing Rules and duly fulfil its
information‑disclosure obligations in respect of any material subsequent developments of this
project.

洛 西 利 片（「目 標 產 品」）簽 署 三 方 商 業 協 議（「該 協 議」），協 議 期 限 至 2036 年 6 月 30
日 屆 滿。
根 據 該 協 議，本 集 團 向 Innobic（亞 洲）及 早 安 國 際 共 同 授 予 目 標 產 品 於 泰 國 區 域
（「目 標 區 域」）內 的 獨 家 商 業 化 權 利，該 等 商 業 化 權 利 包 括 在 目 標 區 域 內 進 口、
推 廣、營 銷、要 約 銷 售、銷 售 及 經 銷 目 標 產 品 的 權 利。Innobic（亞 洲）將 作 為 經 銷

由於該協議項下擬進行的交易乃本集團日常及一般業務過程中屬收益性質的
交 易，故 訂 立 該 協 議 並 不 構 成 上 市 規 則 第 14 章 項 下 之 須 予 公 佈 的 交 易。
