VOLUNTARY ANNOUNCEMENT
XUANZHU BIOPHARM AND INNOBIC REACHED
A COMMERCIAL COOPERATION FOR BIREOCICLIB
IN THE THAILAND MARKET
The board of directors (the “Board”) of Sihuan Pharmaceutical Holdings Group Ltd. (the
“Company” or “Sihuan Pharmaceutical”, together with its subsidiaries, the “Group”) is
pleased to announce that Xuanzhu Biopharmaceutical Co., Ltd. (“Xuanzhu Biopharm”, stock
code: 02575.HK), a non wholly-owned subsidiary of the Group, has recently entered into a triparty commercial agreement (the “Agreement”) in respect of Bireociclib Tablets (the “Target
Product”) with Innobic (Asia) Co., Ltd. (“Innobic (Asia)”), a Thai pharmaceutical company,
and ZaoAn International Trading Co., Ltd (“ZaoAn International”) with a term expiring on
30 June 2036.
Pursuant to the Agreement, Xuanzhu Biopharm jointly grants Innobic (Asia) and ZaoAn
International exclusive commercialisation rights for the Target Product within the territory of
Thailand (the “Target Territory”). The commercialisation rights include the rights to import,
promote, market, offer for sale, sell and distribute the Target Product in the Target Territory.
Innobic (Asia) will act as the distributor and be responsible for pharmaceutical registration,
local marketing and commercial operation of the Target Product in the Target Territory. Under
the Agreement, the marketing authorisation for the Target Product will be held in the name of
Innobic (Asia). ZaoAn International will act as the intermediary and assume primary payment
obligations under purchase orders. Xuanzhu Biopharm will supply the Target Product at the
agreed supply prices to support the commercialisation activities of the Target Product in the
Target Territory.

The Agreement provides for certain minimum purchase quantities on an annual basis, and
licence fees payable by Innobic (Asia) to Xuanzhu Biopharm upon signing and upon obtaining
marketing authorisation from the Thai Food and Drug Administration (TFDA). Innobic
(Asia) and ZaoAn International are jointly and severally liable to Xuanzhu Biopharm for their
respective obligations under the Agreement.
This strategic cooperation is implemented in Thailand, one of the core member economies
of the Pharmaceutical Inspection Co-operation Scheme (PIC/S). By leveraging international
partners to expand overseas markets, Xuanzhu Biopharm will continuously expand the
influence of its products across the promising Southeast Asian market, bring economic
benefits to Xuanzhu Biopharm and the Group, and enhance the brand value of Xuanzhu
Biopharm and the Group.

IMPLICATIONS UNDER THE LISTING RULES
As the transactions contemplated under the tri-party commercial agreement are revenuegenerating transactions entered into in the ordinary and usual course of business of Xuanzhu
Biopharm and Sihuan Pharmaceutical, the entry into such tri-party commercial agreement
does not constitute a notifiable transaction under Chapter 14 of the Listing Rules.

就 軒 竹 生 物 的 吡 洛 西 利 片（「目 標 產 品」）簽 署 三 方 商 業 協 議（「該 協 議」），協 議 期

根 據 該 協 議，軒 竹 生 物 向 Innobic（亞 洲）及 早 安 國 際 共 同 授 予 目 標 產 品 於 泰 國 區

作 為 中 間 商，承 擔 採 購 訂 單 項 下 的 主 要 付 款 責 任。軒 竹 生 物 將 按 約 定 供 貨 價 格
供 應 目 標 產 品，以 支 持 目 標 產 品 在 目 標 區 域 的 商 業 化 活 動。

該 協 議 規 定 了 年 度 最 低 採 購 量，以 及 Innobic（亞 洲）應 在 簽 署 時 及 在 獲 得 泰 國 食
品 藥 品 監 督 管 理 局（TFDA）上 市 許 可 後 向 軒 竹 生 物 支 付 的 許 可 費。Innobic（亞 洲）
