MBK Partners has launched legal action, including a criminal complaint, alleging that Korea Zinc (010130.KS) Chairman Choi Yoon-beom's side entered false information in materials explaining agenda items ahead of an extraordinary shareholders' meeting set for September 9.
MBK said on the 20th that it had sent an official notice to Choi and Korea Zinc CEO Park Ki-duk demanding the "removal of statements in the agenda explanation materials that do not conform to the facts," and that it had begun formal legal measures, including a criminal complaint over the spreading of false information and defamation.
MBK argued that in the explanatory materials for the meeting posted on Korea Zinc's website, the normal management activities of professional executives at MBK Partners' portfolio companies were described in a distorted manner, with objective facts excluded and information selectively and biasedly presented. It said this constituted an illegal act that harms the reputation and credibility of others by stating false content or deliberately omitting important facts in a document that has a significant bearing on shareholders' reasonable exercise of their voting rights.
MBK also criticized Choi's side for what it called reckless smear tactics ahead of the meeting, aimed at concealing wrongdoing and legal risk.
"If the false materials are not removed immediately and improper solicitation of voting rights continues, we will take all possible legal measures to protect shareholder interests and market trust," an MBK official said.
