Hancom With (054920.KQ), the holding company of Hancom Group, is entering the global gold real-world asset tokenization business in partnership with companies based in Dubai.
Hancom With said on the 3rd that it had signed a contract to establish a joint venture in Dubai with Al Dhafra Al Garbia Gold Trading, a gold trading firm, and Cast Holdings, a global business development company.
The three companies signed a memorandum of understanding in July and spent about two months completing local legal and regulatory reviews and designing the business structure. The joint venture will be established in Dubai with total capital of $800,000. Hancom With and ADGT will each hold 40%, with Cast Holdings taking 20%.
The partners have also finalized their roles. ADGT will handle the sourcing, refining and storage of physical gold, drawing on a gold mine project in Tanzania and its distribution network in the United Arab Emirates. Hancom With will take exclusive charge of building and operating the token issuance and redemption system that converts the secured physical gold into on-chain assets. Cast Holdings will support the creation of local partnerships and operating systems using its network linking South Korea, China and the UAE.
The joint venture is structured so that a single entity manages the entire process, from sourcing and storing physical gold to verifying reserves and issuing and redeeming tokens. The aim is to overcome the limits of earlier models, in which gold supply and token issuance were handled by separate parties, and to maximize the link between physical gold and on-chain assets by running the supply chain and the issuance system within one organization.
The Al Mazrouei family, which leads ADGT, is an influential UAE family that has produced senior government officials including an energy minister and has intermarried with the royal family. The joint venture plans to move quickly to secure a local physical gold supply chain by tapping the infrastructure the family has built in the UAE gold distribution market.
A compliance framework will also be put in place from the outset. The venture is going through the procedures required to meet the licensing requirements of Dubai's Virtual Assets Regulatory Authority, and it is incorporating anti-money laundering and know-your-customer rules, as well as compliance with Sharia, or Islamic law, a prerequisite in Middle Eastern finance, into its business model. Whether physical gold holdings match the tokens issued will be verified by a third party and disclosed regularly.
The joint venture gives Hancom With a stable base for sourcing physical gold for its existing gold token business.
In April, Hancom With launched Ontorium, a real-world asset blockchain platform, in global markets together with affiliate AB Labs. Ontorium issues a gold token called OXAU backed by physical gold with 99.99% purity certified by the London Bullion Market Association, and records the unique serial numbers of gold bars on-chain so that the one-to-one match between each token and the physical gold can be tracked transparently.
The three companies will first focus on establishing a structure for stable OXAU issuance based on physical gold secured through ADGT's supply chain, and later plan to expand into areas such as putting mine financing contracts based on gold output on-chain.
"If the agreement in July was the stage that set the direction, this joint venture completes the organization and systems to actually carry out the business," said Song Sang-yeop, chief executive of Hancom With. "Based on stable technology and a business structure that connects real-world assets and blockchain, we will strengthen our position in the Middle East market and expand the business into global markets."
