TOKYO -- Japanese trading house Itochu will spend about 250 billion yen ($1.56 billion) to help advertising agency Dentsu Group delist its system developer subsidiary Dentsu Soken, Nikkei has learned.
Itochu will acquire a 38.2% stake in Dentsu Soken. Dentsu Group, which will hold the remaining 61.8% ownership, will delist Dentsu Soken, resolving the Japanese company's parent-subsidiary dual-listing issue that has been subject to investor criticism.
Itochu will soon conduct a tender offer to acquire shares not owned by Dentsu Group. If successful, Dentsu Soken will be delisted. It's market capitalization was 535.6 billion yen as of the closing price on Thursday.
Dentsu Soken is a system integrator that is strong in system development for manufacturing and finance. The company projects to grow consolidated sales 10% this year to 182 billion yen, marking a record for 11 consecutive years.
Dentsu Soken is at the core of Dentsu Group's growth in the digital domain. The group will enhance collaboration through integrated services ranging from advertising, marketing and artificial intelligence development.
In fiscal 2025, Dentsu Group suffered its largest-ever net loss due to impairment on goodwill at overseas operations. With the urgent need to restructure businesses abroad, attention has been focused on how the group will deal with subsidiaries under its umbrella.
Itochu will acquire a stake in Dentsu Soken to bolster its digital business through collaboration with the company. Itochu aims to expand its information technology segment, which centers on Itochu Techno-Solutions.
Itochu plans to invest 1.5 trillion yen in growth investments for the fiscal year ending March 2027. This marks a 50% increase from the initial plan for the previous financial year.
