Norway's Vaar Energi (VAR.OL) and BlueNord (BNOR.OL) have agreed to combine their businesses, making Vaar Energi the largest independent producer of oil and gas in Europe, the companies said on Tuesday.
The transaction, to be settled in cash and stocks, valued BlueNord at about $1.33 billion at Monday's closing price for the Vaar Energy share, according to a Reuters calculation.
"We are creating a stronger, more diversified company with increased scale, resilience and cash generation," Vaar Energi CEO Nick Walker said in a statement.
The combined group will have a long-term production target of around 450,000 barrels of oil equivalent per day, he added.
BlueNord owners will receive 248.4 million new Vaar Energi shares and 1.96 billion Norwegian crowns ($202.95 million) in cash, equating to 9.7153 shares in Vaar Energi and 76.83 crowns in cash for each share held in BlueNord, the companies said.
The boards of directors of both Vaar Energi and BlueNord have approved the proposed deal and consider it in the best interests of each company and their respective shareholders, they said.
As a result of the expected value creation from the deal, Vaar Energi intends to increase the overall dividend payment for the second quarter of 2026 to $350 million, it said.
Vaar Energi is majority owned by Italy's Eni (ENI.MI) .
