Kakao Games approved a mid- to long-term shareholder return plan at an extraordinary shareholders' meeting. Following the cancellation of 500,000 treasury shares in July, the company will secure funds for shareholder returns by utilizing its remaining treasury shares and transferring capital reserves to retained earnings.
Kakao Games said on Aug. 24 that shareholders approved two proposals aimed at enhancing shareholder value, while co-CEOs Kim Tae-hwan and Lee Si-woo and other executives purchased about 500 million won of the company's shares in total.
Kakao Games held the extraordinary shareholders' meeting at the Kakao artificial intelligence (AI) campus in Yongin, Gyeonggi Province, approving proposals on its treasury share holding and disposal plan and on offsetting accumulated losses and transferring capital reserves to retained earnings. The measures are part of a long-term shareholder return plan following the cancellation of 500,000 treasury shares last month.
The company plans to use about 350,000 treasury shares remaining after the cancellation to fund a restricted stock unit (RSU) program for employees. The RSUs will be designed primarily around performance conditions tied to mid- to long-term management performance, corporate value and shareholder value. The program is intended to align employee compensation with the company's sustainable growth and shareholder value. Details will be finalized by the board at a later date.
Kakao Games will also reduce about 1.54 trillion won in capital reserves and transfer the amount to retained earnings. The company plans to use the funds for its mid- to long-term shareholder return policy.
Executives also purchased company shares. Co-CEOs Kim Tae-hwan and Lee Si-woo and Chief Financial Officer (CFO) Shin Kwon-ho bought about 500 million won of shares in total. The company said the purchases are part of its efforts to maintain shareholder-focused, accountable management.
