Doosan said it is continuing negotiations to acquire SK Siltron. The company has been in talks since being selected as the preferred bidder last year and said it will make an immediate disclosure once the transaction is finalized. With SK’s board of directors scheduled to meet on July 31, attention is turning to whether the sale of SK Siltron will regain momentum.
During its second-quarter earnings conference call on July 27, Doosan said regarding the acquisition of SK Siltron, "There have been many speculative reports, but the deal team has continued negotiations since being selected as the preferred bidder on Oct. 17 last year," adding, "Once the deal is finalized, we will communicate through an immediate disclosure."
This marks the first time Doosan has publicly commented on the progress of negotiations since market speculation emerged over possible delays in the sale of SK Siltron. The company did not provide details on the transaction schedule or the timing of a potential agreement.
SK has been pursuing the sale of SK Siltron as part of efforts to improve its financial structure. After selecting Doosan as the preferred bidder last year, SK has been negotiating detailed terms. The assets being sold include a 51% stake in SK Siltron held by SK and an additional 19.6% stake tied to a total return swap (TRS) agreement, representing a combined 70.6% controlling stake.
The agreement was initially expected to be completed in the first half of this year, but negotiations over sale terms have reportedly continued as the value of the wafer business increased alongside investments in artificial intelligence (AI) semiconductor technologies.
Industry observers expect SK to hold a board meeting on July 31 to discuss agenda items related to its restructuring efforts. The direction of the SK Siltron sale negotiations, which have continued for more than seven months, could also be determined at the meeting.
Doosan said it posted consolidated sales of 5.5861 trillion won and operating profit of 488.4 billion won in the second quarter. Supported by growth in major businesses including its Electronic BG and Doosan Enerbility, revenue increased 5% and operating profit rose 37.8% from a year earlier.
