Gossamer Bio, Inc. (GOSS), announced a structured private placement of up to approximately $250 million to support seralutinib's advancement toward potential FDA approval in pulmonary arterial hypertension (PAH).
Seralutinib has completed its Phase 3 PROSERA study in PAH in December 21, 2025.
Seralutinib is being developed as a potential treatment for PAH and PH-ILD, with the financing following Gossamer's recent reacquisition of worldwide rights to the drug.
Gossamer preparing to submit a New Drug Application (NDA) to the FDA in September 2026.
The financing includes $150 million of committed capital, with $25 million expected at the initial closing and an additional $125 million upon FDA acceptance of the seralutinib new drug application (NDA) in PAH.
The company plans to submit the NDA for seralutinib in September 2026, with the second financing tranche contingent on FDA acceptance of the application in 2026.
Gossamer may receive an additional $100 million if seralutinib receives FDA approval. The additional proceeds would come from warrants issued at the second closing and exercisable upon achievement of the FDA approval milestone.
The private placement includes participation from new and existing institutional investors, including EcoR1 Capital, 683 Capital Partners, RA Capital Management, Coastlands Capital, Samsara BioCapital and Rock Springs Capital.
At the initial closing, Gossamer expects to issue pre-funded warrants for approximately $25 million in gross proceeds.
The initial closing is expected to occur on or about August 24, 2026.
Upon FDA acceptance of the seralutinib NDA, participating investors will be obligated to purchase additional pre-funded warrants for approximately $125 million, subject to customary closing conditions.
Gossamer intends to use the net proceeds, together with existing cash, cash equivalents and marketable securities, to advance the clinical development and potential commercialization of seralutinib in PAH.
The funds will also support the development of seralutinib for pulmonary hypertension associated with interstitial lung disease (PH-ILD).
Cash Position:
Cash, Cash Equivalents and Marketable Securities Totaled $57.0 Million as of June 30, 2026
The company expects the proceeds from the financing, together with existing cash resources, to fund operations into 2028.
GOSS has traded between $0.11 and $3.87 over the past year. Currently, GOSS is trading at $0.15, up 1.59%.
