South Korea's Fair Trade Commission said on the 1st that it has approved Hanwha Aerospace's acquisition of shares in Korea Aerospace Industries (KAI), clearing the way for Hanwha Group to accelerate its push to build what it calls a Korean version of SpaceX spanning aviation, space and defense.
The commission's review centered on whether Hanwha could effectively control KAI after buying the shares. When shares are purchased purely for investment purposes, concerns about restricting competition through a business combination are limited.
Based on KAI's current ownership structure, the commission concluded that Hanwha cannot be seen as having secured management control. KAI's largest shareholder is the Export-Import Bank of Korea with 26.41%, while the National Pension Service holds 8.75%. Combined, government-linked stakes total 35.16%. Hanwha's stake stands at 15.89%.
Because Hanwha is not KAI's largest shareholder and government-linked holdings exceed its own, the commission determined that Hanwha cannot exert substantive influence over KAI's major management decisions with its current stake alone.
Hanwha plans to use the approval as a springboard to deepen business cooperation with KAI. The plan is to combine Hanwha's launch vehicle and satellite technology with KAI's aircraft platforms and systems integration capabilities to strengthen competitiveness in space, aviation and defense. The two companies aim to expand overseas exports on that basis and grow into a Korean version of SpaceX.
If government-led privatization of KAI becomes a matter of public debate, Hanwha could move aggressively to acquire or merge with the company.
The picture could change, however, if Hanwha buys additional KAI shares. Should Hanwha secure a larger stake and become KAI's largest shareholder, or exert direct influence over management through concurrent executive appointments, it would have to file a new business combination report.
"If Hanwha becomes the largest investor through additional purchases of KAI shares, or holds concurrent positions as one-third or more of KAI's executives or as chief executive, a new obligation to report a business combination arises," an FTC official said.
