Immatics N.V. (IMTX), a clinical-stage precision immunotherapies, announced that it has entered into an agreement to raise approximately $150 million through an underwritten public offering.
The company will sell 12,945,916 ordinary shares at $8.69 per share. In addition, certain investors will receive pre-funded warrants to purchase 4,315,304 ordinary shares at $8.689 per warrant, reflecting the offering price less than $0.001 per share exercise price.
Gross proceeds from the offering, before underwriting discounts and expenses, are expected to total $150 million.
The offering is schedules to close on August 26, 2026, subject to customary closing conditions. Immatics has also granted underwriters a 30-day option to purchase up to 2,589,184 additional shares at the public offering price, less the underwriting discount.
Jefferies, Leerink Partners and Cantor are acting as joint book-running managers for the transaction.
IMTX has traded between $5.05 and $12.41 over the past year. The stock closed Monday's trading at $8.69, down 2.69%. In pre-market trading the stock is at $9.63, up 10.82%
