韩国锌业（Korea Zinc）批评永丰与MBK Partners重复片面主张，代理顾问一致反对对方提名的审计委员候选人

Korea Zinc (010130) criticized Young Poong (000670) and MBK Partners for repeating one-sided claims after domestic and overseas proxy advisory firms opposed the audit committee candidate backed by the two.
"Young Poong and MBK are distorting facts and making one-sided claims based on speculative judgments without presenting objective evidence," Korea Zinc said on the 28th.
Korea Zinc will elect four independent directors and one audit committee member at a special shareholders meeting on the 9th of next month. Institutional Shareholder Services and Glass Lewis, the two largest global proxy advisers, as well as Korea's Proxy Advisory Service, recommended voting against Park Yookyong, the audit committee candidate nominated by MBK and Young Poong.
"As proxy advisory firms at home and abroad, including the two largest global advisers, unanimously opposed the audit committee candidate put forward by Young Poong and MBK, the two are repeating one-sided claims and focusing on swaying public opinion," Korea Zinc said.
The company also rebutted claims by Young Poong and MBK over investments in One Asia Partners. Young Poong and MBK said the same day that a series of follow-up investments by a One Asia Partners fund backed by Korea Zinc came after the family of Korea Zinc Chairman Choi Yun-birm invested in unlisted entertainment and content companies. Korea Zinc stressed that "the company is merely a limited partner in the funds managed by One Asia Partners, and the general partner independently selected individual investment targets and made investment decisions."
Korea Zinc also said it would explain accounting errors recently flagged by financial regulators. In June, the Financial Services Commission pointed to understatement of valuation losses and impairment losses on investment assets and the omission of footnotes on related-party transactions in Korea Zinc's 2022-2024 financial statements, and recommended the dismissal of the executive in charge. "We will explain the areas where our judgment on estimates and valuations differs, and will make our case through follow-up procedures," the company said.
