Samsung Biologics (207940) has launched a tender offer to acquire PolyPeptide Group, a global peptide contract development and manufacturing organization, aiming to secure a 100% stake for up to 2.7 trillion won and complete the deal by the end of November.
The company said on the 31st that it had posted a tender offer prospectus on its website covering all 33,016,411 outstanding shares of PolyPeptide Group, excluding treasury stock. The offer is being conducted through Samsung Peptide, a Swiss special purpose vehicle set up as a subsidiary for the acquisition.
The offer period runs from Sept. 15 to Oct. 12 at 4 p.m. local time. The purchase price is 44.31 Swiss francs per share, putting the total acquisition cost at 1.46 billion Swiss francs (about 2.7 trillion won) if all shareholders tender their shares.
PolyPeptide Group's board unanimously endorsed the offer. Draupnir Holding, the largest shareholder, has committed to tendering its entire 55.65% stake. IFBC, an independent expert recognized by the Swiss Takeover Board, has also found the offer price to be fair.
The transaction will close if tendered shares exceed 66.7% and regulators grant approval. Samsung Biologics plans to delist PolyPeptide Group after the acquisition and, if its stake surpasses 90%, to initiate a squeeze-out procedure to buy out remaining minority shareholders.
Through the acquisition, Samsung Biologics aims to expand its business into peptides, adding to antibody drugs, messenger RNA (mRNA) and antibody-drug conjugates (ADC). The company will take over PolyPeptide Group's existing CDMO contracts to secure order volumes immediately after the deal closes, and plans to combine its own expertise in designing and operating production facilities with PolyPeptide Group's development and manufacturing technology.
