Citibank Korea (016830) has begun work to convert itself into a branch of a foreign bank by buying out minority shareholders, it was belatedly confirmed.
The bank held a board meeting late last month and approved an additional acquisition of treasury shares, according to financial industry sources on the 3rd.
Citigroup currently holds a 99.98% stake in Citibank Korea. The remaining 0.02% is split among 2,823 minority shareholders, who hold 63,934 common shares and 7,465 preferred shares. The plan the bank is now pursuing is to buy up all of those minority holdings.
Citibank Korea will form a special committee made up of outside directors to review transaction terms, including the share acquisition price. "Because treasury shares carry no voting rights, this effectively creates a single-shareholder structure, but the board is expected to decide later whether to retire or retain the shares," a financial industry official said.
The market reads the move as groundwork for winding down the local corporate entity and converting it into a foreign bank branch. Sorting out the shareholder structure has to come first before the operation can be folded into the parent company's business organization rather than remaining a separate corporation.
Citibank Korea has indeed been accelerating the wind-down of its existing retail banking business. For unsecured loans, the bank will reassess credit standing and repayment capacity through the end of this year and decide whether to extend loans as they mature. From next year, it will offer installment repayment of up to seven years for customers who cannot repay or refinance.
For real estate-backed loans, the bank will reassess collateral value, credit standing and debt repayment capacity for customers whose loans are maturing, extending maturities on a one-year basis. It has set a policy of granting installment repayment periods of up to 30 years to customers who cannot subsequently repay or refinance. Citibank Korea announced the phased closure of its consumer finance business in 2021. It now focuses solely on corporate banking, foreign exchange and derivatives, and financing for multinational corporations. "The acquisition of minority shareholdings is a management decision aimed at reducing administrative inefficiency," a Citibank Korea official said. ▷See this paper's August 18 edition, pages 1 and 9
