不做 Zabka Group(ZAB.PL)
Seven & i Holdings(3382.JP)

    Nikkei称Seven & i接近入股Zabka,Reuters报道Zabka当时涨15.9%、Seven & i涨2.2%,说明此前股价已交易过并购预期。

  2. 2026-07-25官方确认/否认Seven & i statement via Jiji/Nippon.com一手源原文 ↗

Zabka Group SA shares are falling the most on record after Japan’s Seven & i Holdings Co. walked away from talks to buy an equity stake in Poland’s biggest convenience store operator.

The Polish retailer’s shares dropped as much as 14%, the most since its 2024 initial public offering, and traded 10% weaker at 28.04 zloty as of 12:38 p.m. in Warsaw. The drop pushes the stock price back down to levels seen before reports of interest from the Japanese firm.

Private equity-backed Zabka, worth 28.1 billion zloty ($7.4 billion) after Monday’s selloff, sees itself as a takeover target as it seeks to expand its footprint across eastern Europe. Seven & i, the owner of the 7-Eleven brand, was unable to reach a deal that would be in the best interests of the company and its shareholders, it said in a statement on Saturday.

“The sellers’ price expectations were too high,” Dariusz Nawrot, an analyst at Noble Securities, said about why the Japanese firm may have walked away from the negotiations.

The development means that a share overhang issue may again plague the valuation of Zabka, whose leading shareholders are CVC Capital Partners Plc and Partners Group Holding AG. The stock has gained 22% so far this year, compared with a 21% jump in Warsaw’s WIG20 equity index.

“Seven & i’s withdrawal of interest in acquiring a double-digit stake in Zabka is negative news, especially given the recent significant rise in Zabka’s share price in anticipation of a partial removal of the share overhang,” said Piotr Bogusz, an analyst at Erste Bank Polska SA.

Modeled on 7-Eleven, Zabka owns around 13,000 brick-and-mortar shops in Poland, most of which operate on franchise basis. The company has also been present in Romania since 2024.

Zabka has not replied to Bloomberg requests for comment on its contacts with Seven & i.
