Activist Barington Pushes Chemed for Strategic Review, Cost Cuts
Activist investor Barington Capital Group is ramping up its campaign against Chemed Corp., saying the holding company for a hospice service and a plumbing business should conduct a strategic review and refresh its board.
Barington Chairman and Chief Executive Officer James Mitarotonda said in a letter to Chemed’s board that the company has two “outstanding businesses whose value is not being maximized.” Mitarotonda wrote in the letter reviewed by Bloomberg News that Chemed has been underperforming its peer group and the broader market, while its management and board have responded to challenges “with insufficient urgency.”
“Very few companies can point to a record of this quality, and the board and Chemed’s Chief Executive Officer Kevin McNamara deserve significant credit for these accomplishments,” Mitarotonda wrote. “Unfortunately, the company’s recent performance no longer reflects either the quality of its businesses or its past legacy of success.”
Barington said it has held talks with McNamara and Michael Witzeman, Chemed’s chief financial officer. A representative for Chemed didn’t immediately respond to a request for comment.
Cincinnati-based Chemed has two units: Hospice provider Vitas Healthcare and plumbing and drain-cleaning services firm Roto-Rooter.
Barington is pushing the board to perform a strategic review and formulate plans to improve profitability, including addressing whether the current multi-business structure has contributed to the “under-investment” in Roto-Rooter.
The activist is also calling the board to cut costs, starting with perks such as the CEO’s personal use of company aircraft, tickets for sporting events and club membership.
Barington argues that Chemed needs to rebuild its executive compensation program after shareholders voted against an advisory measure on it. The company also needs to refresh its board, the activist said, adding that it has recommended a new director candidate.
“Simply put, we do not believe that Chemed has become a weaker company — in our opinion it has become a less ambitious one that suffers from a lack of accountability and effective oversight,” Mitarotonda wrote.
Barington disclosed its campaign against Chemed last month. The activist holds about 0.43% of Chemed’s outstanding shares, according to regulatory filings for the quarter ended March 31.
Shares of Chemed, which dropped 19% in 2025, have gained 20% in New York this year, giving the company a market value of about $6.9 billion.
