Hain Celestial Group Inc. is weighing a possible Chapter 11 bankruptcy filing, according to people familiar with the matter, as it contends with a high debt burden and weakening demand for its natural and organic foods.
The company, which owns brands including Earth’s Best baby food and Hartley’s jam, could seek court protection as soon as next month, said the people, who asked not to be named because the discussions are confidential. No final decision has been made and the plan could still change, they added.
“Over the last several months, we have been advancing a turnaround strategy focused on strengthening our capital structure, simplifying our portfolio and improving execution across the business,” a Hain spokesperson said in a statement. “As part of that work, the board and management team continue to evaluate a range of strategic and financial alternatives to maximize value for all stakeholders.”
The spokesperson said the company doesn’t comment “on speculation regarding specific potential outcomes.”
Hain Celestial shares fell 48% as of 3:43 p.m. Thursday in New York to 30 cents. The company’s stock has plunged about 99% since early 2021, when it was the target of consumer class-action lawsuits alleging that Earth’s Best baby food had unsafe amounts of heavy metals including lead and mercury.
In September, the company had a deal with private equity firm Aurelius to sell its UK and European businesses, including baby-food maker Ella’s Kitchen and plant-based beverage brands Joya and Natumi. But that sale required lenders to extend the maturity of debt due in December for at least nine months, the company said in a regulatory filing.
The Oct. 12 deadline to extend the maturity passed without the required changes to the credit agreement, the company said. The proposal would have brought in as much as $310 million in fresh cash that Hain planned to use to pay down existing debt. Hain and Aurelius continue to negotiate the proposed sale, according to the filing.
A representative for Aurelius didn’t respond to a request for comment.
Hain Celestial, based in Hoboken, New Jersey, has about $655 million in unsecured debt, according to data compiled by Bloomberg.
