Dassault Systèmes SE will buy drug trial software maker ArisGlobal for as much as $2 billion as the French firm expands its push into life sciences.

Dassault will buy the firm from Nordic Capital, a Swedish private equity group, the French company said in a statement on Thursday. The payment includes $1.8 billion in cash and an additional $200 million in payouts, the company said.

The deal is the company’s first major acquisition since it pushed out its chairman in February in a surprise move following a steep decline in its share price. Dassault, which is controlled by a family that’s at the heart of France’s defense industry, has struggled this year due to fears that artificial intelligence will disrupt software businesses.

The group reported a revenue of €1.56 billion in the second quarter, up 2% from the previous year. That compares to an average analyst estimate of €1.54 billion according to data compiled by Bloomberg. Dassault shares have lost about 26% so far this year.

Dassault specializes in creating “virtual twins” of complex machines, a field threatened by emerging AI “world models” that help systems navigate the physical world. Earlier this year, the firm has been among the companies spanning multiple industries getting swept up in a global selloff of stocks seen as vulnerable to disruption by AI tools.

The company’s life sciences arm has been a drag on its overall performance, with revenue in the division falling 12% in the first quarter compared to a year earlier. Chief Executive Officer Pascal Daloz said in an earnings call in February that Dassault remains committed to life sciences as AI redefines the sector.

Nordic bought a majority stake in the US-based ArisGlobal in 2019 and later expanded its holding. ArisGlobal uses AI to help life science companies with drug development, regulation and safety monitoring.
