SkyWater Technology(SKYT.US)
IonQ(IONQ.US)

IonQ Inc. will close its $1.8 billion acquisition of semiconductor foundry SkyWater Technology Inc. later this week after the Federal Trade Commission was unable to decide whether to impose conditions on the deal, according to people familiar with the matter.
The FTC split 1-1 on accepting a settlement that would have required IonQ to pledge that it wouldn’t disadvantage rivals that contract with SkyWater, said the people who asked not to be identified discussing internal agency dynamics.
The five-member antitrust and consumer protection agency currently has just two Republican commissioners — Chair Andrew Ferguson and Commissioner Mark Meador – after President Donald Trump fired its Democratic members last year. Ferguson, who controls the agency as chair, voted in favor of the settlement while Meador voted against. The settlement was intended to provide critical guardrails to support American quantum computing, one of the people said.
In a July 22 email to staff about his vote, a copy of which was viewed by Bloomberg, Meador said he wasn’t persuaded that the deal would harm competition or that the proposed remedy would be effective.
Under the FTC rules, in the event of a deadlock, the agency takes no action. In the case of IonQ’s deal, that ends the agency’s antitrust review, allowing the deal to close.
An FTC spokesperson declined to comment. Meador didn’t respond to a request for comment.
IonQ announced that it received regulatory clearance Tuesday evening and planned to close the deal on Friday. The company didn’t respond to questions about the potential settlement.
In January, IonQ announced it would buy SkyWater, the only semiconductor foundry that manufactures exclusively in the US and one of a handful of manufacturers for quantum hardware. SkyWater builds chips for quantum computing, defense and aerospace companies.
In June, Trump signed an executive order aimed at accelerating quantum research, a nascent technology with serious implications for national security that has pitted the US against China in a race to assert dominance.
Technologists and physicists have tried for decades to harness the mind-bending mechanics of quantum physics into making so-called supercomputers that would be exponentially more powerful than conventional machines. The industry has made some breakthroughs but is still working to overcome the challenges of making the technology work at scale.
