Thoma Bravo-backed Proofpoint is in talks to acquire cybersecurity company Varonis Systems Inc., according to people familiar with the matter.
A transaction could be announced in the coming weeks, they said, asking not to be identified because the information is private. No final decision has been made, talks could fall apart or another bidder could emerge.
Varonis fell 2.8% to $41.19 at 2:44 p.m. in New York trading Wednesday, giving the Miami-based company a market value of about $4.7 billion.
Representatives for Thoma Bravo, Proofpoint and Varonis didn’t immediately respond to requests for comment.
Varonis helps companies monitor and control access to sensitive information across cloud systems.
