Hugo Boss AG said Chairman Stephan Sturm will step down, as largest shareholder Frasers Group Plc seeks to beef up its board representation alongside its takeover bid for the German fashion house.
Sturm, who joined the supervisory board in 2025, will leave Oct. 15 following what Hugo Boss called “constructive discussions against the backdrop of the recent changes” in its shareholder structure.
After its takeover effort fell short of a majority stake, Frasers is pushing for greater influence over Boss. The UK company behind Sports Direct, Flannels and House of Fraser said this month it still intends to boost its holding beyond 50%.
Controlled by British billionaire Mike Ashley, Frasers said Monday Sturm’s departure follows talks on boosting its presence on the supervisory board, which Frasers Chief Executive Officer Michael Murray already joined last year. It said it will seek the appointment of Robert Palmer as an additional member of the body.
Shares in Frasers and Hugo Boss were little changed Monday in early trading in London and Frankfurt respectively.

Sturm’s exit may stoke investor fears over the board’s independence. Ingo Speich, head of sustainability and corporate governance at Deka Investment, said this month an independent chairman is “indispensable for maintaining credibility in the capital markets and safeguarding the rights of all shareholders.”
Frasers wants Murray to take over as CEO of the German firm, The Times newspaper has reported, citing people it didn’t identify. Current CEO Daniel Grieder is in the midst of a second turnaround plan since taking the helm in 2021.
While Hugo Boss has continued to describe the relationship with Frasers as “constructive,” the company ended its share buyback program early after Frasers said it wanted a majority stake — a move that removed a route by which Frasers could have increased its holding without buying additional shares.
