Frasers Group Plc wants a majority stake in Hugo Boss AG and is reviewing whether it still supports the German fashion house’s chairman.

The company behind Sports Direct, Flannels and House of Fraser plans to raise its Hugo Boss holding above 50%, according to a statement Tuesday, up from about 48% after its recent cash bid fell short of control. Frasers said the timing, price and whether it will achieve a majority stake remain uncertain.

The plan comes as Frasers pushes more into luxury. It is the second-largest shareholder in handbag maker Mulberry Group Plc, and recently took a position in Burberry Group Plc. It has a reputation for building up positions in retailers across Europe and then seeking change.

“Passing 50% ownership would clearly be a significant milestone for Frasers,” Jefferies analyst Andrew Wade said, adding that it would result in the full consolidation of Hugo Boss’s financials within Frasers’ accounts.

Shares of Frasers slipped 2.3% in London, trimming this year’s gain to about 20%. Hugo Boss shares rose as much as 1%, bringing this year’s gain to 7.8%.

Frasers, controlled by British billionaire Mike Ashley, also said it is again considering its backing for Boss’s Chairman Stephan Sturm. It previously withdrew its support for Sturm as Frasers pushed for more control over the board’s composition, before saying in June it backed him as chairman.

Leadership

Frasers Chief Executive Officer Michael Murray joined Boss’s board last year. The Times newspaper, citing people it didn’t identify, has said Frasers wants Murray to take over as CEO of the German company. Current CEO Daniel Grieder, who took the helm in 2021, is in the midst of his second turnaround plan.

Frasers declined to comment beyond what it set out in the statement.

Hugo Boss’s relationship and “constructive collaboration” with Frasers remain unchanged, a spokesperson said. Sturm was elected to the position, they said, adding that Frasers’ statement doesn’t result in any “immediate changes.”

An independent chairman is “indispensable for maintaining credibility in the capital markets and safeguarding the rights of all shareholders,” said Ingo Speich, head of sustainability and corporate governance at Deka Investment, a Hugo Boss shareholder. “This is all the more important if a chief executive is appointed from the circle of the anchor shareholder.”

The pressure is building on Hugo Boss after it recommended shareholders reject Frasers’ €38-a-share takeover offer, saying it undervalued the company.

It was not a genuine takeover offer, Hugo Boss said at the time, but rather an attempt by Frasers to increase its holding. German law requires investors to make a takeover offer if their stake reaches 30%.

Only 17.6% of Hugo Boss investors accepted the offer at the end of the acceptance window last month, leaving Frasers just shy of overall control.
