Japanese energy company Eneos Holdings Inc. acquired TPC Group in a deal valuing the chemical firm at $1.28 billion including debt, according to documents reviewed by Bloomberg News.

The agreement, announced Friday without pricing details, will give the Japanese oil refiner ownership of TPC’s petrochemical operations in Houston as well as terminal operations in Port Neches, Texas, and Lake Charles, Louisiana. TPC engaged with multiple interested parties, according to the documents, which were signed by TPC leadership.

Representatives for Eneos and TPC Group didn’t immediately reply to requests for comment on the deal value.

Houston-based TPC had been a fixture in the distressed-debt market for years, ultimately filing for Chapter 11 protection in 2022 after battling the fallout from several mishaps at its plants. One of the most high-profile incidents was a 2019 explosion at the Port Neches plant that exposed nearby neighborhoods to toxic air pollution and prompted about 7,800 legal claims. The plant subsequently shut down, and earnings sank almost 75% in the third quarter of that year.

Eneos will “further strengthen TPC Group’s position for long-term success,” TPC Chief Executive Officer Ed Dineen said in a statement.

TPC emerged from bankruptcy by giving ownership to its bondholders. Its exit plan also called for giving other creditors, including the pollution victims, $30 million in cash.
