Baker Tilly’s private equity owners are considering piling extra debt onto the company to pay themselves a dividend of as much as $1 billion, according to people familiar with the matter.
Hellman & Friedman and Valeas Capital Partners are looking to execute the so-called dividend recapitalization alongside a broader refinancing package they’re attempting to raise in the leveraged loan market, the people said, asking not to be identified discussing private information.
If successful, the $1 billion payout would mark the largest dividend transaction this year, according to data compiled by Bloomberg.
Talks are ongoing and the size of the dividend payment may change, said the people. Deutsche Bank AG is leading the refinancing — which will replace existing private credit debt — and has been meeting with investors this week, the people said.
Representatives for Deutsche Bank, Hellman & Friedman, Valeas Capital and Baker Tilly declined to comment.

Firms from Warburg Pincus to Brookfield Infrastructure Partners have tapped debt markets for more than $6 billion of deals that featured a dividend component so far this year, the data show.
They’re capitalizing on robust demand from investors seeking floating-rate debt as persistent inflation raises the prospect of rates staying higher for longer. With the market for private equity exits remaining sluggish, sponsors are seeking ways to engineer cash returns for their limited partners.
In June alone, debt investors helped at least 10 borrowers raise more than $3.5 billion of loans and high-yield bonds to fund distributions to their owners. Sponsors routinely use dividend recapitalizations to book profits after they acquire companies.
For Baker Tilly, a dividend-plus-refinancing deal would be its first such transaction in the leveraged loan market since Hellman & Friedman and Valeas agreed to buy the business in February 2024.
Baker Tilly has about $2.5 billion in debt from direct lenders including Blackstone Inc. that it’s trying to refinance.
