People Incorporated(PPLI.US)
MGM Resorts International(MGM.US)

Longtime shareholder of Barry Diller’s People Inc. is pushing for the media company to abandon its offer for a takeover of casino operator MGM Resorts International.
Yakira Capital Management, in a letter published Monday, said People isn’t maximizing the use of its assets and should instead pursue share buybacks. Bruce Kallins, president of the hedge fund, said the proposed MGM acquisition is inconsistent with People’s principles of developing new companies with evolving technologies.
“Management appears prepared to transform a cash-rich company with a relatively simple corporate structure into a far more complex and leveraged enterprise, centered around a mature gaming business,” Kallins said. “The result would be greater financial risk, reduced flexibility and increased exposure to a business that public market investors have discounted for years.”
People’s board should be more cautious with another transformative transaction when the company’s shares have been trading at a discount to the value of its own assets, Kallins wrote in the letter.
A representative for People didn’t immediately respond to a request for comment.
People, which owned 26.6% of MGM’s shares as of June 1 according to data compiled by Bloomberg, should sell that stock and use the proceeds to buy back some of its own shares and retire them, Kallins said. In June, People offered $48.30 a share for the rest of MGM, which said last month that it’s engaged in deal talks with Diller’s company.
Kallins said in the letter that Yakira has been concerned about the direction of People because its recent investments under Diller have generated mixed results. The rising popularity of prediction markets has created additional uncertainty to the future of traditional online sports books operators such as BetMGM, he said.
Yakira, based in Westport, Connecticut, owned 0.31% of People’s shares at the end of March, according to data compiled by Bloomberg. The hedge fund said it’s making its views public because it hasn’t been able to speak with Diller despite frequent requests for a meeting.
Shares of People rose 1.2% to $42.06 Monday in New York trading, giving the company a market value of $3.1 billion. MGM’s stock fell 0.2% to $44.50 for a market capitalization of more than $11 billion.
