Uber nears €12.5bn deal to acquire Delivery Hero
Delivery Hero is set to be taken over by Uber in a deal that values the company at about €12.5bn in an acquisition that will further consolidate the global food delivery market.
The German food delivery group is expected to announce the deal as early as Thursday with Uber paying roughly €41 per share, said multiple people familiar with the matter.
The transaction will split Delivery Hero, with the group selling its Turkish arm Yemeksepeti alongside multiple European businesses to an investment firm in an attempt to reduce geographic overlap with Uber that might prompt regulatory scrutiny over competition issues, the people added.
People close to the deal cautioned the terms and timing are not finalised and could change. Uber and Delivery Hero were approached for comment.
The deal would mark the latest consolidation of the food delivery market and give Uber further scale to challenge its rivals. Last year, DoorDash took over UK-based Deliveroo for £2.9bn and Prosus acquired Just Eat Takeaway for €4.1bn.
The deal would help Uber expand aggressively in the Middle East through the acquisition of Talabat and Saudi Arabia’s HungerStation. It will also pick up Delivery Hero’s Korean arm Baemin, having previously explored a bid for the unit.
Uber has been locked in talks with Delivery Hero since May when chief executive Dara Khosrowshahi first approached the company’s board with an offer of €33 per share, valuing the company at roughly €10bn, as the FT first reported.
The move came as Delivery Hero’s founder and chief executive Niklas Östberg said he would leave by March 2027 following years of shareholder pressure. Activist investor Aspex Management had long called on the company to streamline operations, speed up asset sales and replace Östberg.
The San Francisco-based ride-hailing group has since built up a sizeable stake in Delivery Hero. In April, it acquired €270mn worth of shares from Prosus, which had been reducing its holding to comply with EU antitrust requirements linked to its takeover of Just Eat. The following month Uber picked up shares from Hong Kong-based Aspex.
Ahead of this week’s deal Uber controlled 24.99 per cent of Delivery Hero’s voting rights, strengthening its position to block any rival bids while staying just below the legal threshold for a foreign investment review by the German government as well as merger controls.
In preparation for the deal, Uber paused the launch of delivery services in five new European markets which also had Delivery Hero operations including Austria, Norway and Greece, months after they were announced.
Uber and Delivery Hero overlap in four EU delivery markets: Poland, Portugal, Spain and Sweden.
One industry figure said the pause may help smooth any EU antitrust review of a takeover, which is expected to face scrutiny because of the large overlap between the two companies’ markets.
