Streamlined Submarine Cable Landing License Applications
Accepted for Filing

Unless otherwise specified, the following procedures apply to the applications listed below:

The applications listed below have been found, upon initial review, to be acceptable for filing and
subject to the streamlined processing procedures set forth in section 1.767 of the Commission's rules, 47

Executive Order No. 10530, reprinted as amended in 3 U.S.C. § 301, each applicant seeks: (a) the grant
of a submarine cable landing license; (b) the modification of a submarine cable landing license; and/or
(c) the assignment or transfer of control of an interest in a submarine cable landing license.

Pursuant to its decision in Review of Commission Consideration of Applications under the Submarine

are permitted subject to the Commission's rules for "permit-but-disclose proceedings." See 47 C.F.R. §
1.1206. Unless otherwise specified, interested parties may file comments with respect to these

Transfer of Control

FROM: RTI Solutions, Inc.
TO: BOC-LA1 LLC

On September 28, 2023, RTI Solutions, Inc. d/b/a HMB Solutions (HMB Solutions), a California
corporation, filed an application for consent to the transfer control of the JGA North submarine cable
system (SCL-LIC-20181106-00035) from HMB Solutions to BOC-LA1 LLC (BOC), a Delaware
limited liability company. HMB Solutions filed two amendment to make corrections and clarifications.
See SCL-AMD-20260810-00115; SCL-AMD-20260615-0008.

HMB Solutions had the following 10-percent-or-greater direct or indirect equity or voting interest
holders: (1) Mr. Brian Mass, a U.S. citizen (14.5% direct equity and voting interest); (2) Mr. Christopher
Brungardt, a U.S. citizen (10.0% direct equity and voting interest); (3) Making Chaos Global, LLC, a
Nevada limited liability company (16.7% direct equity and voting interest); and (4) LSF Capital Pte.
Ltd., a Singapore company (35.0% direct equity and voting interest).

On August 11, 2023, BOC entered into separate Stock Purchase Agreements to acquire all the equity and
voting interests held by Mr. Brian Mass, Mr. Chris Brungardt and LSF Capital Pte. Ltd in HMB
Solutions. Because the effective closing of these separate Stock Purchase Agreements has already
occurred, the Applicants filed a special temporary authority (STA) SCL-STA-20230928-00028 (filed
September 28, 2023) with the Commission; which the Commission subsequently granted on November
19, 2024 to allow HMB Solutions to continue operating the JGA North submarine cable system pending
review of this application.

On April 15, 2024, Forager and BOC entered into an agreement to acquire all the shares controlled by
Making Chaos Global in HMB Solutions. Upon consummation of that transaction, Forager acquired all
voting interests of HMB Solutions, replacing Mr. Mass, Mr. Brungardt, LSF Capital, Making Chaos
Global, and several other individual shareholders. On June 15, 2026, the Applicants filed a restated and
amended application “to show BOC as a direct subsidiary of GTA rather than of Forager.” The
Applicants state that “for internal management as well as external financing purposes, instead of
becoming a direct subsidiary of Forager, BOC is better suited as an indirect subsidiary of Forager and a
direct subsidiary of TeleGuam Holdings, LLC (GTA), itself an indirect, wholly owned subsidiary of
Forager.”

The following individuals or entities will hold a 10% or more equity, voting, or controlling interest in
BOC, and ultimately in HMB Solutions: Forager (100% direct equity and voting interest in BOC);
Stonepeak Grouper Holdings LP, a Delaware limited partnership (9% indirect equity and 100% voting
interest); Mariana Holdings LLC, a Delaware limited liability company (79% indirect equity and 0%
voting interest); B88 Financial Group, LLC (B88), a Delaware limited liability company (1% indirect
equity and 100% voting interest); Benjamin Wu (100% indirect equity and voting interest); Huntsman
Family Investments, LLC (Huntsman Family), a Delaware limited liability company (0% indirect equity
and 100% voting interest); The Huntsman Foundation (Huntsman Foundation), a Utah foundation
(15.8% indirect equity and 0% voting interest); Paul Huntsman (15.8% indirect equity and voting
interest); and Estate of John Huntsman Sir., a U.S. citizen (79% indirect equity and voting interest).

The Applicant states that no other person or entity, directly or indirectly, controls or owns a ten percent
or greater voting or equity interest in HMB Solutions.

REMINDERS:

Applicants must certify that neither the applicant nor any party to the application is subject to a denial of
federal benefits by federal and/or state courts under authority granted in 21 U.S.C. § 862. See C.F.R. §§
1.2001-1.2003.

By this notice, we inform the public that submarine cable landing license applications that are part of
larger transactions involving multiple Commission licenses or authorizations may involve "extraordinary
circumstances" as referenced in Review of Commission Consideration of Applications under the
Submarine Cable Landing License Act, Report and Order, 16 FCC Rcd 22167 (2001) and Rules and
Policies on Foreign Participation in the U.S. Telecommunications Market, Report and Order and Order
on Reconsideration, 12 FCC Rcd 23891 (1997), paras. 327-28, Order on Reconsideration, 15 FCC Rcd
18158 (2000). Additionally, extraordinary circumstances result where Executive Branch agencies
petition the Commission to defer action on an application pending the resolution of potential national
security, law enforcement, foreign policy and trade policy issues. Accordingly, these applications may
be removed from streamlined processing and may not be acted on within the 90-day review period that
the Commission has established as the period of time normally required to reach a decision on non-
streamlined submarine cable landing licenses. This notice shall serve as public notice to applicants that,
in these circumstances, additional time may be required for Commission review and final action. No
additional formal public notice will be provided routinely with respect to specific applications in the
event that the applicable review period extends beyond 90 days.
