Williams (WMB.N) said on Monday it would buy Momentum Midstream for $5.5 billion and raise its full-year profit outlook, expanding its natural gas network in the Haynesville shale to serve growing Gulf Coast liquefied natural gas and power demand.
The pipeline operator said the deal is valued at up to $5.5 billion, comprising about $3.5 billion in cash and debt consideration along with roughly $2 billion in Williams equity.
The acquisition gives Williams more than 4,000 miles of pipe and over 1 million dedicated acres in the Haynesville, with gathering capacity of 6 billion cubic feet per day (cfd) and three take-or-pay pipelines able to move 4.05 billion cfd.
The company said the assets would strengthen its position in a key supply basin feeding Gulf Coast LNG export plants, power generators and industrial users.
The company lifted its 2026 adjusted EBITDA forecast to $8.3 billion to $8.5 billion from a prior midpoint of $8.2 billion. It reported second-quarter adjusted EBITDA of $1.921 billion, up from $1.808 billion a year earlier.
Quarterly net income rose to $827 million, or $0.68 per share, from $546 million, or $0.45, a year ago.
