Arbutus Biopharma Corporation (ABUS), a clinical-stage biopharmaceutical company, announced the commencement of a modified "Dutch Auction" tender offer to purchase for cancellation up to $230 million of its common shares.
Under the offer, shareholders may tender shares at prices ranging from $5.00 to $5.75 per share, in $0.05 increments. The offer began Monday and is scheduled to expire at 5:00 p.m. ET on September 29, 2026, unless extended or terminated by the company.
Arbutus intends to fund the share repurchase with available cash on hand.
The company will determine a single purchase price within the stated range following the expiration of the offer, with all shares purchased in the tender offer acquired at the same price.
If fully subscribed, the offer would result in the purchase of approximately 20.2% to 23.2% of Arbutus' outstanding shares, depending on the final purchase price.
As of August 19, 2026, the company had approximately 198.1 million shares outstanding.
The tender offer follows Arbutus' receipt of approximately $178 million from Moderna on July 8, 2026, under a settlement agreement resolving global patent litigation related to Arbutus' lipid nanoparticle technology.
Arbutus said the tender offer provides shareholders with an opportunity to sell all or a portion of their shares while allowing non-participating shareholders to increase their relative ownership interest in the company.
Roivant Sciences, which owns approximately 19.6% of Arbutus, intends to make a proportionate tender.
