Oil rises 3% as U.S. strikes on Iran revive Hormuz supply disruption concerns
INDIANAPOLIS and CAMBRIDGE, Mass. - Eli Lilly and Company (NYSE:LLY) announced today a definitive agreement to acquire Merida Biosciences, Inc., a biotechnology company developing therapeutics for autoimmune and allergic diseases, for up to $2.875 billion in cash.
The acquisition includes an upfront payment and contingent milestone payments, according to a press release statement. The transaction is subject to customary closing conditions and regulatory approvals, with an expected close in the fourth quarter of 2026.
Merida is developing biologics engineered to selectively degrade pathogenic autoantibodies. The company’s lead program, MER511, is in Phase 1 development for Graves’ disease and thyroid eye disease. Initial Phase 1 data showed MER511 achieved reductions in pathogenic thyroid-stimulating antibodies.
Graves’ disease affects approximately 3 million people in the U.S., and roughly 25 to 40 percent of people with Graves’ disease develop thyroid eye disease. Current approved treatments for both conditions do not directly target the autoantibodies that cause them.
Merida’s pipeline also includes MER769, a preclinical program focused on food allergy, asthma, chronic spontaneous urticaria and other diseases, along with earlier-stage programs in kidney diseases such as membranous nephropathy.
"We’re building our pipeline around therapies that meaningfully change the course of disease, not just its downstream effects," said Francisco Ramírez-Valle, senior vice president of Lilly immunology research and early clinical development.
Adam Townsend, chief executive officer of Merida, said the acquisition "gives our science the resources and commitment to realize its potential for patients with immune-mediated conditions."
Lilly will determine the accounting treatment of this transaction in accordance with Generally Accepted Accounting Principles upon closing.
Centerview Partners LLC is acting as financial advisor to Merida, with Goodwin Procter LLP serving as legal counsel. Ropes & Gray LLP is acting as legal counsel to Lilly.
