Prior to closing, WISeQey and SEALSQ plan to contribute their interests in Miraex SA, SEALCOIN AG, WeCan Group SA and WISeSat.Space Holdings Corp. (NASDAQ:SAIQ) to Quantisimo.
The boards of directors of GigCapital8, Quantisimo, WISeQey and SEALSQ have approved the business combination. GigCapital8’s board has unanimously recommended shareholder approval.
The transaction is expected to close in the first quarter of 2027, subject to customary closing conditions, including approval by GigCapital8’s shareholders and the effectiveness of a registration statement to be filed with the Securities and Exchange Commission.
