Penske Automotive Group (PAG) confirmed that its board received an unsolicited, preliminary, and non-binding proposal from Penske Corporation and Mitsui & Co. to acquire the remaining shares of the company that they and their affiliates do not currently own. The offer price was $210 per share. It was noted that Penske Corporation and Mitsui currently beneficially own collectively 72.6% of the stock.
In response, the Penske Automotive Group (PAG) board has established a special committee comprised of disinterested and independent directors to review and consider the proposal. The special committee is authorized to retain advisors, including independent legal and financial advisors, to assist it in its work.
Weighing in on the development, Wedbush Securities analyst Michael Piccolo said the ~7.6% premium to the unaffected price is modest by go-private standards and likely reflects an opening bid rather than a final number. "We would expect the special committee to push back, particularly given PAG shares were already near 52-week highs on strong fundamentals (multiple recent price-target increases)," he noted.
