Commerzbank (CRZBF) (CRZBY) Chairman Jens Weidmann invited UniCredit (UNCRY) (UNCFF) to start talks on the terms of a merger, dropping its prior resistance to an unsolicited takeover by the Italian lender, according to a media report on Friday.
The German lender's campaign to fend off an acquisition by UniCredit ended as the Italian bank built up a 48% stake in Commerzbank, which gives UniCredit the ability to determine shareholder resolutions.
"Even though we would have preferred things to be different, the balance of power at the next annual general meeting is clear," Wiedmann said, according to reporting by Reuters. He's calling for "constructive talks to establish the key parameters for staff, shareholders, and the customers of the bank."
The discussions are also in UniCredit's interest, he added. "There will be no shortcut via Berlin," Weidmann added.
Commerzbank AG (CRZBF) shares rose 1.1% in afternoon trading in Germany, while UniCredit (UNCRY) shares gained 1.1% in Italy.
