Shares of Safety Insurance Group (SAFT), a regional property and casualty insurer, surged 41% on Friday after the company announced it had agreed to be acquired by an affiliate of Mapfre in an all-cash deal valued at approximately $1.54 billion. The acquisition, announced after the previous session's close, will deliver $105 per share to shareholders, a 44% premium to the prior closing price of $72.94.
Under the merger deal, Safety Insurance, which operates in Massachusetts, New Hampshire, and Maine, will continue to do business under its existing brand as a wholly owned Mapfre U.S.A. subsidiary. The deal is expected to close in Q1 2027, subject to regulatory approval.
Trading volume surged to 949,508 shares on Friday, 7.62 times the stock's average daily volume, as investors responded to the buyout announcement. Shares opened at $103.07 and traded in a narrow range between $102.94 and $103.39, reflecting the market's rapid repricing toward the $105 per-share deal price.
Prior to today's move, SAFT had drifted lower across much of the preceding two weeks. The stock fell in four of the five sessions before July 23, losing ground in a pattern of modest but persistent declines before the acquisition news reset the stock's entire valuation framework overnight.

Following the merger announcement, Seeking Alpha analyst Seeking Profits characterized the Mapfre transaction as a bet on the benefits of larger scale. The analyst noted that the 1.8x book value acquisition price represents a "full standalone price" that makes competing bids unlikely.
The analysis highlighted SAFT's roughly 1.75% upside to the $105 deal price and an approximately 7% annualized return over an assumed six-to-seven month closing window, alongside a 3.6% dividend yield expected to continue through closing. Read more
