Ubtech Robotics (UBTRF) said the trustee overseeing its H share incentive scheme purchased 125,000 H shares on the open market for about HK$9.74 million ($1.23 million), increasing the pool of shares available for future employee equity awards.
The purchase is intended to support the company's long-term employee incentive program rather than represent a corporate share buyback. For investors, the transaction signals that Ubtech (UBTRF) is continuing to fund its equity compensation plan by acquiring shares in the market, a mechanism that can help align employees' interests with those of shareholders while limiting dilution from issuing new shares.
According to a filing with the Hong Kong Stock Exchange, the scheme's trustee bought the shares on July 24 at an average price of approximately HK$77.94 a share. The acquisition represented about 0.025% of the company's total issued shares.
Following the purchase, the trustee held 940,950 H shares in trust for eligible participants under the incentive scheme.
Ubtech (UBTRF) said its board will periodically review the incentive plan and determine, at its discretion, how many shares should be awarded to eligible participants and whether additional H shares should be purchased on the market for the scheme.
