Does Netflix (NFLX) need to make an acquisition?
Seeking Alpha analysts Oliver Rodzianko, Steven Mallas, and Elina Selianska weigh in.
Oliver Rodzianko: In my opinion, Netflix (NFLX) is probably best off if it reacquires its own stock. Management has long stated that Netflix is a culture of builders, not buyers. After the de-rating, it has $27.1B of repurchase authorization, so I would put this to work if I were in charge.
Any external acquisition would have to beat buybacks in terms of long-term shareholder accretion, and the execution risk is much higher. If management wants permanent IP, then Lionsgate Studios (LION) is the clearest public content option. But I don't think the business needs it. NFLX stock is deeply undervalued, so it would be a waste to favor a premium external asset over the value opportunity inherent internally right now.
Remember that management already walked away from the Warner Bros. (WBD) deal once Paramount Skydance (PSKY) made the price unattractive by bidding. So I think management knows what it's doing, and the multiple compression in NFLX stock right now is temporary and a gift for value investors who have a penchant for growth.
Steven Mallas: Netflix (NFLX) should make an acquisition to more easily enter the theatrical business. It could do it on its own, certainly, but engaging consolidation would probably satisfy many institutional investors.
Anyone who has read me in the past knows what I'm about to write next: Lionsgate (LION) is an ideal acquisition target. The enterprise value for the business is around $8B, so even with a premium attached, it would be an easy purchase. Plus, the market wouldn't worry as much about debt taken on to finance it versus something like the Warner Bros. Discovery (WBD) attempt.
In addition to theatrical considerations, Lionsgate's (LION) library would help to expand Netflix's (NFLX) portfolio of intellectual properties, and Netflix could easily divest what it doesn't need of the asset (e.g., the 3Arts stake).
Elina Selianska: Doing any big M&A deals right now makes zero strategic sense for them. It is not that the business model of Netflix is broken. They simply hit a hard ceiling in North America. Buying legacy Hollywood studios like Paramount (PSKY), Warner Bros. Discovery (WBD), or Disney (DIS) would not give them new geographic reach or better technology.
Meanwhile, further expansion into fragmented markets like Europe creates a massive headache. Unlike in the U.S., you cannot simply drop one single product. You have to create custom, localized content for France, Germany, Italy, and so on. That fragmentation drives up regional production costs, crushes margins, and results in a significantly lower ARPU. There is simply no other market on the planet as lucrative as the U.S.
