Carrier Global (CARR) said it agreed to sell its Noresco energy services business to OPTERRA Energy Services, a subsidiary of LS Power, as the company continues to streamline its portfolio around its core climate and energy businesses.
The companies said they have signed a definitive agreement and expect the transaction to close shortly. Financial terms were not disclosed.
For investors, the divestiture marks another step in Carrier's effort to simplify its business following a series of portfolio moves in recent years. By shedding a non-core operation, the company is sharpening its focus on its heating, ventilation, air conditioning, refrigeration and related technologies. Because no purchase price was announced, investors have limited information to assess the transaction's immediate financial impact.
NORESCO provides energy-efficiency and infrastructure modernization services for government, commercial and institutional customers. Following the sale, the business will become part of OPTERRA, which provides energy and sustainability services and is owned by power and energy infrastructure investment firm LS Power.
"The sale of NORESCO represents Carrier's continued commitment to portfolio simplification, allowing us to remain laser-focused on growth and innovation within our core businesses," Carrier Chairman and Chief Executive Officer David Gitlin said in a statement.
Gitlin thanked NORESCO employees for their contributions and said the company believes the business is well positioned under its new owner.
Carrier said Jefferies LLC served as financial adviser on the transaction, while Akerman LLP acted as external legal counsel.
The transaction is subject to customary closing conditions and is expected to be completed in the near term. Neither Carrier nor LS Power disclosed the expected financial terms or any anticipated effect on Carrier's earnings or guidance.
