Meta Platforms(META.US)
BlackRock(BLK.US)

- Seeking Alpha

Meta Platforms (META) and BlackRock (BLK) have formed a joint venture to finance the development and operation of a data center campus in El Paso, Texas, with funds managed by BlackRock taking an 80% stake and Meta retaining the remaining 20%.
The partners will fund their respective shares of the project's approximately $14B development cost, covering the buildings and long-lived power, cooling, and connectivity infrastructure.
At closing, Meta will contribute land and construction-in-progress assets valued at about $2.3B, while BlackRock will invest approximately $4.9B in cash. Meta will also receive a one-time distribution of about $1B to align ownership with the agreed 80/20 split. Part of BlackRock's investment will be financed through $12.5B in debt.
Meta will lease the entire campus under an initial four-year agreement with four extension options, providing potential access to the facility for up to 20 years. The company will also provide residual value guarantees with an aggregate threshold of about $13B, which declines over time.
"Building the infrastructure for superintelligence is key to making sure the benefits of this technology are distributed to everyone," said Mark Zuckerberg, Meta founder and CEO. "Our partnership with Larry and the team at BlackRock allows us to move faster and at greater scale -- pairing our deep expertise in designing and operating world-class data centers with one of the world's leading infrastructure investors."
The El Paso campus represents an investment of more than $10B from Meta, supporting over 4,000 construction jobs at peak and 300 permanent operational jobs once completed, with more than 2,300 workers already on site.
