The board of Aurora Cannabis ( ACB ) ( ACB:CA ) said shareholders should reject Curaleaf's ( CURA:CA ) unsolicited offer. "This transaction would be harmful to Aurora shareholders as the hostile bid is inadequate," said Miguel Martin , Executive Chairman and CEO of Aurora in a statement on Wednesday. "Curaleaf has over $1 billion in debt and is asking shareholders to give up ownership of a stronger, debt-free and growing global medical cannabis company ..." Aurora Cannabis ( ACB ) last month said that Curaleaf Holdings ( CURA:CA ) ( CURLF ) started an unsolicited takeover bid for all of its outstanding shares, offering implied consideration of $4 per share , comprising 0.3463 Curaleaf shares and $0.75 in cash. On Wednesday, Curaleaf ( CURA:CA ) responded to the Aurora ( ACB:CA ) board rejection. "Aurora's continued refusal to engage in a meaningful price discussion regarding this transaction is disappointing and shows disregard for the interests of the company's own shareholders," Boris Jordan , Chairman and Chief Executive Officer of Curaleaf, said in a statement. " Not once has there been a counteroffer presented to us, which shows management's motives to preserve their positions versus creating value for shareholders."
