Brookdale ( BKD ) agreed to acquire from Welltower ( WELL ) the real estate of 30 senior living communities that Brookdale currently leases and operates for $290M, the company said Tuesday. The company's stock jumped 5.2% in after-hours trading to $10.65. Welltower ( WELL ) stock ticked down less than 0.1% to $230.14. The transaction, expected to close in Q4, will be funded with cash on hand and non-recourse mortgage debt. The purchase will further reduce Brookdale's annual cash rent increase, increase its consolidated share of owned units to almost 80%, and is expected to boost its adjusted EBITDA and adjusted free cash flow. The leased portfolio of 1,152 assisted-living and memory-care units in 13 states with ~$17.8M of annual cash rent for 2027, including $11M of operating rent and ~$7M of financing rent, would have otherwise matured in 2032. Brookdale ( BKD ) and Welltower ( WELL ) also agreed to a cash flow positive lease for 39 communities. The amendment, contingent upon closing the Welltower portfolio acquisition, would extend the lease through June 2036 from its current maturity in June 2032 and would be Brookdale's only remaining lease with Welltower. The amendment also allows Brookdale to exercise its existing fair market value purchase option, subject to a pre-negotiated floor, at any time during the lease. Previously, the option was only exercisable immediately before the 2032 existing maturity.
