Varonis Systems ( VRNS ) being acquired by Proofpoint is a signal that more mergers are coming in the cybersecurity space, Wedbush Securities said. “As we noted in our assumption of coverage, cybersecurity has seen a rising wave of consolidation across singlepoint solution vendors with more organizations looking to maintain strong security systems in place while cutting down on managing 45–75 separate security vendors,” Wedbush analyst Steven Wahrhaftig wrote in a note to clients. “We believe this consolidation theme will accelerate over the coming years as more cyber budget migrates toward platform players. Within data security, we believe this consolidation theme can continue with 131 different vendors currently operating in the industry, according to CB Insights, as the industry competition expands across enterprise vendors. We believe that consolidation in cybersecurity is expected to accelerate despite seeing record deal flow into 2026, and we believe this will become more widespread as platform consolidation remains top of mind for cybersecurity spend." Delving deeper, Wahrhatfig did not mention any specific companies that could be acquired, but said the data security area has been "active" when it comes to M&A. He mentioned Cyera's acquisitions of Oasis Security, Ryft, and Genie Security as deals of note, while Zscaler ( ZS ) acquired Symmetry Systems for roughly $$150M earlier this year. "We also note that buyers outside of core security have sought to acquire data security firms, including Veeam through its $1.725 billion acquisition of Securiti AI, a data security posture management firm, and Everpure’s acquisition of 1Touch, a data intelligence company, showing how data security remains a top priority for all firms in the age of AI,” Wahrhatfig added. Varonis shareholders will get $49.75 per share in cash from Proofpoint. The transaction values Varonis at approximately 53x LTM free cash flow and 8.4x LTM revenue. The deal is expected to close in the first half of 2027. Thoma Bravo is providing committed equity financing and has secured debt financing commitments to fund the purchase. The Ontario Teachers’ Pension Plan has also agreed to make an investment into Proofpoint in connection with the transaction.
