Salesforce ( CRM ) agreed to buy Braze ( BRZE ), an AI-powered marketing platform, for $5.66 billion in enterprise value. Salesforce fell 3% in premarket trading. Trading of Braze was halted before markets opened. Under the terms of the agreement, holders of Braze ( BRZE ) Class A common stock will receive $47.50 in cash per share, according to a statement on Tuesday. The price represents a 58% premium to Braze's closing on Monday. The deal is expected to close in Saleforce's ( CRM ) fiscal year 2028, including approval by Braze’s shareholders and receipt of required regulatory approvals. There is no anticipated change to Salesforce's FY27 guidance. Salesforce has not guided FY28 and there is no update to long-term targets at this time.
