Qiagen ( QGEN ) on Thursday said it has agreed on an all-cash public takeover from private equity firm EQT valuing the European molecular testing company at about €10.8 billion. Sweden’s EQT, through its holding company Crown NL Bidco, will acquire all outstanding shares of Qiagen at €46.50 per share, implying a premium of 40.3% to the XETRA closing price of €33.15 per Qiagen share on 8 July 2026, the last trading day before the publication of market reports regarding takeover interest from private equity firms, and 46.9% to the three-month volume-weighted average price on XETRA of €31.66 per share up to and including 8 July 2026. Shares of Qiagen were trading nearly 1% higher premarket. Qiagen’s boards unanimously approved the deal. As part of the deal, EQT has agreed to support the company’s long-term development, including commitments relating to Qiagen's strategy, business, key brands, operational footprint and R&D activities, among others. The closing of the deal is currently expected in mid-2027. If closing has not occurred within 10 months of the date of this announcement because required regulatory approvals remain pending, Qiagen can elect to pay shareholders an interim dividend of up to $0.47 per share, the companies said, adding that any such interim dividend would not be deducted from the offer price. Qiagen ( QGEN ) said in March the company was working with Moelis & Co. and Goldman Sachs to review its strategic alternatives. In August 2020, Thermo Fisher ( TMO ) walked away from a €43.00 per share offer for diagnostic test maker Qiagen ( QGEN ). Thermo Fisher first announced a €39/share offer for QGEN in March 2020, and then upped its bid after institutional investors rebelled over the price. Earlier in the week, Qiagen also posted preliminary Q3 net sales of $548 million.
