Hansoh Pharmaceutical Group Co., Ltd. (HNSPF), a China-based pharmaceutical company, has entered into a strategic collaboration and licensing agreement with Roche Holding AG (RHHBY) to advance a broad portfolio of antibody-drug conjugate (ADC) programs targeting multiple cancer types.
Under the agreement, Hansoh is eligible to receive an upfront payment of $400 million, a first-anniversary payment of $110 million and potentially more than $15 billion in milestone payments tied to development, regulatory approvals and commercialization. The deal also includes tiered royalties on potential future product sales.
The collaboration covers two preclinical ADC programs developed by Hansoh and multiple programs based on targets proposed by Roche, using Hansoh's proprietary ADC technology platform.
Hansoh will lead early development through completion of global Phase 1a clinical trials. Roche will oversee subsequent worldwide development and commercialization, excluding mainland China, Hong Kong, Macau and Taiwan. Hansoh will retain development and commercialization rights in those territories.
Hansoh also has the option to select up to two programs and contribute to their development outside the specified Chinese territories, potentially receiving additional commercial benefits from sales of those programs in the United States.
The agreement marks the second ADC collaboration between Hansoh and Roche, building on their existing partnership to accelerate the development of next-generation cancer therapies.
Hansoh said the collaboration supports its strategy of leveraging its ADC expertise and technology platform to advance innovative oncology treatments for patients worldwide.
Roche said the expanded partnership will help explore next-generation ADCs and address unmet medical needs in cancer care.
The financial terms include potential milestone payments exceeding $15 billion, although these payments are contingent on the programs achieving specified development, regulatory and commercial milestones. Future royalties will depend on potential product sales.
RHHBY is currently trading at $58.86, up 3.01%.
HNSPF's stock closed trading at $4.25 without any movement on the OTC Markets.
