IMUNON, Inc. (IMNN) said Wednesday it agreed to sell its rights to ThermoDox to VoxelDox Therapeutics in exchange for an equity stake, potential milestone payments and royalties.
Upon completion of VoxelDox's financing, IMUNON will receive an approximately 4.76% equity interest. It is also eligible for up to $16.5 million in development and sales-based milestone payments, plus tiered royalties of 3.5% to 6% on net sales of ThermoDox-related products, if approved.
ThermoDox is an investigational, heat-activated liposomal formulation of the chemotherapy drug doxorubicin. VoxelDox plans to develop it for glioblastoma multiforme, a difficult-to-treat form of brain cancer.
Closing is contingent on VoxelDox completing a planned $2.5 million financing to support initiation of a Phase 1 glioblastoma trial.
IMUNON said the transaction would allow it to focus financial and operational resources on IMNN-001, its DNA-based immunotherapy being evaluated in the pivotal Phase 3 OVATION 3 trial in frontline advanced ovarian cancer.
IMUNON said any milestone or royalty payments, or value from its equity stake, would depend on VoxelDox's success in financing, developing and, if applicable, commercializing ThermoDox.
IMNN closed on Tuesday at $1.005, up 2.03%.
In the pre-market trading, shares fell 1% to $0.99.
